STANDARD MOONROOM AGREEMENT

Introduction
These terms (Standard MoonRoom Agreement) govern the purchase of educational services between Subscribers and Educators on the MoonRoom Platform.
Definitions
The Standard MoonRoom Agreement has the same meaning as the defined terms in the General Terms.
Application Of The Standard MoonRoom Agreement
The Standard MoonRoom Agreement is in addition to the General Terms and Educator Terms. MoonRoom is a party to the agreement concerning the General Terms and Educator Terms with each respective party, including Subscribers and Educators. In contrast, MoonRoom is not a party to the Standard MoonRoom Agreement. Rather, the Standard MoonRoom Agreement is an agreement between Subscribers and Educators and governs transactions and the relationship between Subscribers and Educators on the MoonRoom Platform.
Pricing, Payment, And Refunds
By initiating a purchase, Subscriber represents that Subscriber is at least 18 years of age and has the legal capacity to enter into a binding contract.
Subscriber represents and warrants that Subscriber has the right to use any means of payment that Subscriber uses in connection with a purchase on the Website or App and Subscriber agrees to pay, all charges and losses incurred in connection with the purchase.
When a Subscriber chooses to transact with an Educator, Subscriber agrees to pay the fee as per the Pricing Policy.
Further, Subscriber and Educator agree for MoonRoom to process payment according to the General Terms and Educator Terms.
By making a purchase, Subscriber agrees not to file a payment or credit card dispute unless the service purchased was not provided.
Refunds are not provided unless the service was not provided. This agreement does not affect any statutory right to receive a refund that Subscriber may have under any applicable law.
Obligation Of Educator To Provide Purchased Service
Educator agrees to provide the service purchased by Subscriber according to the Educator Terms.
Content And Correspondence
Subscriber and Educator warrant that for any content or correspondence shared, posted, displayed, uploaded, or published to the MoonRoom Platform that:
The content or correspondence complies with the General Terms and Educator Terms;
Subscriber and Educator possess all the necessary rights to the content, including intellectual property rights; and,
The content or correspondence does not contain or encourage any illicit or illegal activity.
Educator reserves the right to change, modify or discontinue any content.
Not Individualized Investment Advice
Subscriber and Educator agree that Educator is a publisher of financial information, not an investment adviser. Educator does not provide personalized or individualized investment advice. Any information provided by Educator is not specific to any individual's investment needs. Subscriber acknowledges that no information provided by Educator constitutes a personalized recommendation or advice regarding the suitability of, or advisability of investing in, purchasing, or selling any particular investment, security, cryptocurrency, portfolio, commodity, transaction, or investment strategy, and Subscriber further agrees not to request such advice.
Subscriber agrees that Educator shall not be liable for any investment decisions based upon the information provided to Subscriber. Trading in investments or similar instruments involves risk and volatility, and any of the investments discussed by Educator may lose their value after purchase.
Past investment results are not necessarily indicative of future performance.
Educators may have a position in the investment or securities discussed or may take positions inconsistent with the views expressed therein.
As markets change continuously, previously published information and data may not be current and should not be relied upon.
Subscribers agree to conduct their own research and due diligence and to seek the advice of a qualified investment professional before Subscriber makes any investment decisions.
Confidentiality
Educator agrees not to disclose the names, nicknames, distinctive marks, preferences, or any other personal information about Subscriber that became available to Educator in the course of Educator’s participation on the MoonRoom Platform. This clause concerning confidentiality applies in perpetuity, even after the termination of Educator’s participation on the MoonRoom Platform.
Independence Of Educators
Subscriber understands and agrees that Educators are independent individuals and not an employee, agent, joint venturer, or partner of MoonRoom, except that MoonRoom provides a platform. MoonRoom does not direct or control an Educator’s choice to participate on the MoonRoom Platform. Further and relatedly, Educator's processing of personal information is subject to an Educator's own privacy policy and practices, except for obligations related to confidentiality and processing of personal information created by the Standard MoonRoom Agreement, General Terms, and Educators Terms.
Choice Of Law And Jurisdiction
The Standard MoonRoom Agreement shall be governed by the laws of the State of California, without regard to principles of conflicts of law. Subscriber and Educator agree to submit to the exclusive jurisdiction of any state or federal court located in California, United States of America and waive any jurisdictional, venue, or inconvenient forum objections to such courts unless Subscriber and Educator both agree to an alternative choice of law and jurisdiction.
Sever-ability
Any part, provision, or representation of the Standard MoonRoom Agreement that is prohibited or which is held to be void or unenforceable shall be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof.
